Scope & Binding Nature of These Terms

These Terms & Conditions are legally binding on all parties who engage with Brightvale Industrial Limited (“Brightvale”, “we”, “our”, “us”) through WhatsApp, email, our website, or any other communication channel.

By continuing to interact with Brightvale, you confirm that you have read, understood, and agreed to these Terms in full.

The following sections apply as follows:

  • Buyers – Bound by Section B, plus Section A (General Terms) and Section E (Data Protection)

  • Vendors/Suppliers – Bound by Section C, plus Section A and Section E

  • Delivery Partners – Bound by Section D, plus Section A and Section E

  • Everyone – Bound by Section A (General Terms) and Section E (Data Protection)

SECTION A – General Terms (Applies to Everyone)

  1. About Brightvale
    Brightvale Industrial Limited operates as a digital agent, facilitating communication and transactions between buyers, vendors, and delivery partners. We are not the manufacturer or direct seller of any products.

  2. Neutral Role & Disputes
    Brightvale is a coordinator only and is not liable for the acts or omissions of vendors or delivery partners. We do not take ownership of goods unless explicitly agreed in writing.

  3. Limitation of Liability
    To the maximum extent permitted by law, Brightvale is not liable for any indirect, consequential, or incidental losses, including but not limited to loss of profit or delays.

  4. Amendments
    We reserve the right to amend these Terms at any time. Continued engagement with our services constitutes acceptance of any updates.

  5. Force Majeure
    We are not responsible for delays or failures caused by events outside of our control, including natural disasters, transport strikes, supplier failure, or regulatory intervention.

  6. Governing Law
    These Terms are governed by and interpreted under the laws of England and Wales. All disputes are subject to the exclusive jurisdiction of English courts.

SECTION B – Buyer Terms

  1. Orders & Payments
    Quotes are provisional until full payment is received. Orders are valid only when placed via approved channels. Goods are dispatched once payment clears.

  2. Delivery
    Estimated delivery times are indicative and non-binding unless explicitly confirmed in writing. Buyers must ensure delivery site access and be present to receive and inspect goods.

  3. Product Issues & Disputes
    All delivery discrepancies or quality concerns must be reported within 24 hours of delivery, with supporting evidence. After this period, goods will be deemed accepted and no claims will be processed.

  4. Risk Transfer
    Risk of loss or damage to the goods passes to the buyer upon successful delivery to the agreed location.Brightvale, vendors, and delivery partners are not liable for any damage or loss occurring after delivery confirmation.

  5. Refunds
    Brightvale does not issue refunds directly. Where possible, we will facilitate dispute resolution between buyers and the relevant supplier or delivery partner.

  6. Liability
    Brightvale accepts no responsibility for defects, damages, or late deliveries caused by third parties. Buyers agree not to hold Brightvale liable for any indirect or consequential losses.

SECTION C – Vendor (Supplier) Terms

  1. Listings & Inventory
    Vendors must ensure the accuracy of all product descriptions, pricing, images, and availability. Vendors are required to promptly update Brightvale with any changes.

  2. Order Fulfilment
    Vendors are solely responsible for fulfilling orders accurately and on time. Substitutions are only permitted with buyer approval.

  3. Payment Terms & Commission
    Brightvale processes payment from buyers and pays vendors net of a 10–15% commission, unless otherwise agreed. Payment is released only after buyer payment is confirmed.

  4. Liability
    Vendors assume all liability for the quality, legality, and timely delivery of their goods.

  5. Anti-Circumvention
    Vendors may not attempt to circumvent Brightvale by engaging directly with buyers introduced via the platform.

SECTION D – Delivery Partner Terms

  1. Role & Responsibilities
    Delivery partners are independent contractors. All assignments must be agreed in writing. Deliveries must be completed safely, punctually, and with professionalism.

  2. Liability & Insurance
    Delivery partners are liable for any loss or damage occurring during transit. They must maintain valid Goods-in-Transit and Public Liability Insurance at all times.

  3. Proof of Delivery & Payment
    Delivery confirmation is required before payment is released. Brightvale will process payment within 7 working days of completed delivery confirmation.

  4. Confidentiality
    Delivery partners must not share or misuse any personal or business information they obtain through the course of their duties.

SECTION E – Data Protection & Privacy

  1. Data Collection
    We collect only essential data: names, contact details, order and delivery information.

  2. Data Use
    Data is used solely for coordinating and completing transactions between users of our service.

  3. Data Sharing
    We may share data with trusted third parties (e.g. suppliers or logistics partners) only to fulfil your order. We never sell your data.

  4. Data Retention
    We retain data only for as long as necessary to fulfil legal, financial, or operational requirements.

  5. Your Rights
    You have the right to access, correct, or delete your data by contacting us at brightvaleofficial@gmail.com.

  6. Legal Basis
    All data handling complies with UK GDPR and the Data Protection Act 2018.
